Terms of Service

This is a courtesy translation of the German Allgemeine Geschäftsbedingungen. In case of any difference, the German version is the legally binding one.

§ 1 Provider and scope

These terms govern the use of the Pando service provided by Pyfio UG (haftungsbeschränkt), Haferweg 30 b, 29614 Soltau, Germany ("we"). By registering, you accept these terms. Deviating terms of the user do not apply.

§ 2 The service

Pando is an online outline editor: a tree of entries that you, and AI agents you authorize, can read and edit. The service is under active development. Features, interfaces and APIs may change, including without prior notice where that is reasonable for you; the core of the service, storing and exporting your content, is preserved throughout.

§ 3 Free and paid services

The basic version is free of charge. Paid plans, their prices and what they include are shown at the time of booking. Price changes for running billing periods are excluded; for future periods they are announced at least four weeks in advance, and you can cancel until they take effect.

All stated prices are final prices. Under § 19 of the German VAT Act (UStG), no VAT is charged and none is shown on invoices. Should this regime end, it applies only to billing periods that begin after the announcement under the paragraph above.

Consumers have a right of withdrawal for paid services. The withdrawal notice with the model withdrawal form is at https://pando.ink/withdrawal.

§ 3a Quotas

We do not promise unlimited use; we state the limits. For file uploads the following quotas apply per account and calendar month:

The limit of 1.5 MB per file comes from the store the files are held in, and is the same on both plans. It applies to a single bullet as well: a bullet's text and its note live in one row and are weighed together. We may switch file uploads off, temporarily or for good; files already uploaded remain available and can be retrieved in that case.

What is counted is the bytes actually uploaded. Deleting a file does not give the quota back within the running month. The quota starts again on the first day of each calendar month. Once it is spent we refuse further uploads; files already stored remain available and can be retrieved. You can see what you have used at any time in the settings.

We may change these quotas with effect for the future. A change to your disadvantage is announced under § 10; for running billing periods it applies only after they end.

§ 3b Payment, invoice and a failed charge

The fee for Pando Pro is due in advance at the start of each paid period. Which payment methods are available is shown during checkout; payment is handled by Stripe. By subscribing you allow the fee for the current and each following period to be collected automatically with the method you chose. On renewal and cancellation, see § 9.

The invoice is provided through Stripe; you find it in the subscription management in Settings. Under § 19 UStG no VAT is shown on it.

If a charge fails, it is retried on a fixed schedule. Pando Pro stays usable during those retries. If every retry fails, Pando Pro ends. Your account then continues as a free account and your content is kept; the quotas under § 3a apply again. You can add a different payment method and subscribe again at any time.

§ 4 Account and user obligations

§ 4a Fair use

Pando is meant for ordinary use as an outliner. Use that places a disproportionate load on the infrastructure, or that plainly puts the service to a purpose it is not for, is not permitted. This includes in particular use as general file or backup storage, the automated creation of very large amounts of data with no connection to content, and access patterns that noticeably affect other users.

We reserve the right to put an account into read-only mode at any time and without prior notice, relying on this clause. In that mode your data stays readable and exportable; writing through the app, the API and connected agents is blocked. We will tell you the reason on request.

You can write to us at hallo@pyfio.com. The decision whether to lift read-only mode rests with us. Where the measure affects an account with a running Pando Pro subscription and we do not lift it within 14 days of your message, we refund the fee for the unusable part of the period already paid for, pro rata; you may also terminate the contract without notice in that case.

§ 4b Unlawful content: reporting and measures

Pando lets you share single branches publicly through a link. If you consider content shared that way to be unlawful, report it to us at kontakt@pyfio.com. That address is also our point of contact under Art. 11 and Art. 12 of Regulation (EU) 2022/2065 (Digital Services Act). You may write to us in German or in English.

So that we can act on a report, please give us: the exact address (URL) of the content, why you consider it unlawful, your name and email address, and a statement that your information is accurate and complete to the best of your knowledge. Name and address may be left out where the report concerns a suspected offence against life, limb or sexual self-determination.

We confirm receipt, review without undue delay, and tell you our decision. If we consider content unlawful or in breach of § 4, we may in particular:

Which of these measures we take is at our reasonable discretion. We are not obliged to take them in any particular order or to try a milder one first, and we may take them immediately and without prior notice. We tell the affected account which measure we took and why. You can object by email to hallo@pyfio.com; we review the objection and reply to you.

§ 5 Your content, our processing

Your content remains yours. You grant us the simple, revocable rights that are technically necessary to provide the service: storing, copying for backup purposes, transmitting, displaying, searching, and the analysis of usage and content metadata to improve and steer the service within the scope of the privacy policy. Your content is passed to third parties only on your instruction (sharing, export, connected agents).

§ 6 Availability

We do not owe any particular availability. Maintenance, updates and faults can interrupt the service. For free use there is no claim to restoration of particular states; the app provides export features with which you can back up your content yourself at any time.

§ 7 Changes to and discontinuation of the service

We may develop the service further, limit it, or discontinue it entirely. We may end free use at any time; we endeavour to announce this in advance and keep the export of your content available for 30 days from the announcement. We end paid plans with 14 days' notice to the end of the prepaid period; periods already paid but not delivered are refunded pro rata. Statutory rights regarding defects remain unaffected.

§ 8 Liability

We are liable without limit for intent and gross negligence, as well as for damage arising from injury to life, body or health, and under the German Product Liability Act. In cases of simple negligence we are liable only for the breach of essential contractual duties (duties whose fulfilment makes proper performance of the contract possible in the first place and on whose observance you may regularly rely), limited to the foreseeable damage typical for this kind of contract. For free services we are additionally liable only for intent and gross negligence. Any further liability is excluded. Where our liability for data loss is not excluded, it is limited to the restoration effort that would have arisen with regular, reasonable backups of your own (export).

§ 9 Term and termination

The usage contract runs for an indefinite period. You can end it at any time by deleting your account. We can terminate it with 14 days' notice, and for good cause (for example a breach of § 4) without notice. After the contract ends we delete your content within the scope of the privacy policy.

Pando Pro runs for the billing period you choose (one month or one year) and renews for the same period unless you cancel before the running period ends. You cancel through the "Cancel contracts here" button at https://pando.ink/cancel or through the subscription management in Settings. Your account and your content remain as a free account after Pando Pro ends.

If you delete your account during a running Pro period, Pando Pro ends with the end of that period; it does not renew again. There is no refund for the period already paid.

§ 9a Inactive accounts

A free account with no sign-in and no writing access for twelve months is deleted by us, with all its content and attachments. Any use through the web, the app, the API or connected agents counts as access, reading included.

Before deletion you receive two notices by email to the address held on the account: 30 days and 7 days beforehand. A single sign-in starts the period again. You can export your content yourself at any time.

Accounts with a running Pando Pro subscription are exempt for its term. After it ends the account counts as a free account, and the period begins at the end of the period paid for.

§ 10 Changes to these terms

We may amend these terms with effect for the future. We announce changes in the app; material changes require your consent before you continue to use the service. If you do not consent, either side may end the contract.

§ 11 Final provisions

German law applies. If the user is a consumer, the mandatory provisions of the state of their habitual residence remain unaffected. For merchants, the place of jurisdiction is the company's seat. Should individual provisions be invalid, the remainder stays in force.
